Policies & Terms
We believe in clear communication and professional accountability. The following policies outline how we operate and what clients can expect when working with Malachite Media.
1. Cancellation Policy
We require 30 days’ written notice to cancel any ongoing monthly service, including but not limited to SEO, content marketing, social media management, video production, and paid advertising.
During this 30-day notice period, services will continue as scheduled.
If notice is given mid-month, the final invoice will be prorated based on days of service.
Cancellation must be submitted in writing (email is acceptable).
This policy applies whether or not a formal contract has been signed, provided services have commenced and the client has agreed to begin work via proposal acceptance, email confirmation, or payment.
2. Payment Terms
Payment is due upon receipt of invoice unless stated otherwise.
A 3% convenience fee applies to all card payments.
Late payments beyond 5 days incur a $25 late fee.
Continued late payments may result in paused services or termination of agreement.
3. Scope of Services
Malachite Media provides services as outlined in project proposals or service agreements. Unless otherwise agreed, standard services may include:
Google Ads & Meta Ads management
SEO strategy and content creation
Social media content development
Video production and design services
Campaign performance tracking
All services are performed with the client’s approval and under the terms agreed upon in the scope of work.
4. Reporting & Performance Tracking
We provide regular performance reports (typically monthly) summarizing campaign insights, analytics, and recommendations.
Malachite Media is not responsible for results impacted by third-party platforms, lack of client access, or significant algorithm shifts outside our control.
5. Confidentiality
All client data, campaign information, and access credentials are kept strictly confidential. We will not share, disclose, or use this information outside the scope of the agreed work.
6. Indemnification
Clients agree to indemnify and hold harmless Malachite Media for any legal actions resulting from campaigns or strategies approved and implemented with client consent.
Likewise, Malachite Media will indemnify clients for any damages caused by our actions taken without the client’s approval or knowledge.
7. Account Access & Ownership
Clients retain full ownership of their ad accounts and creative assets (unless otherwise agreed).
Malachite Media requires timely access to platforms such as Google Ads, Meta Business Suite, and website admin panels to begin work.
We manage and optimize ad campaigns, but clients are responsible for paying their ad platform fees directly.
8. Independent Contractor Status
Malachite Media operates as an independent contractor, not as an employee or agent of the client. Clients are responsible for their own compliance with tax laws, legal advertising requirements, and industry-specific regulations.
9. Disclaimer of Guarantees
While we use proven strategies and best practices, we do not guarantee specific outcomes (e.g., sales, leads, rankings, or ROAS). Digital marketing results are influenced by numerous external factors beyond our control.
We focus on consistent optimization, transparent communication, and strategic performance improvements.
10. Termination of Services
Malachite Media reserves the right to terminate services if:
Invoices are not paid in a timely manner
Clients engage in unethical, abusive, or illegal behavior
Repeated delays or lack of communication halt project progress
In such cases, services may be paused or ended immediately. Any work completed up to the point of termination will be billed accordingly.
11. Governing Law
These terms and all client engagements are governed by the laws of the State of Idaho. Disputes not resolved through mutual agreement will be settled by arbitration or by a court of competent jurisdiction in Idaho.
